Terms of Service

Important — Please Read

By creating an account or using the MTD for Landlords service, you agree to be bound by these Terms of Service. If you do not agree, you must not use the service.

1. Definitions

  • "Service"The MTD for Landlords web application and associated APIs operated by AgentOS Ltd.
  • "We", "Us", "Our"AgentOS Ltd, the company that operates the Service.
  • "You", "User"Any individual or organisation that creates an account and uses the Service.
  • "Organisation"A workspace within the Service, typically representing a single landlord or property portfolio. Also referred to as "Org".
  • "HMRC"His Majesty's Revenue & Customs, the UK government department responsible for tax collection.
  • "MTD"Making Tax Digital — the HMRC digital record-keeping and submission programme.
  • "Submission"A quarterly update or annual declaration filed with HMRC through the Service on your behalf.

2. Eligibility

The Service is intended for use by UK-resident individual landlords and small property businesses that are required to comply with MTD for Income Tax Self Assessment (MTD ITSA). You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organisation. By using the Service you confirm that you meet these requirements.

3. Account Registration and Security

  • You must provide accurate, current, and complete information when registering an account. You are responsible for keeping your account details up to date.
  • You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
  • You must notify us immediately at legal@agentos.com if you become aware of any unauthorised use of your account.
  • You may not share your account credentials with third parties or allow multiple individuals to access the Service under a single account. Team member seats are available within each Organisation for shared access.

4. Permitted Use and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Service for your lawful personal or business tax compliance purposes.

You must not:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Provide false, misleading, or fraudulent information to HMRC via the Service.
  • Attempt to gain unauthorised access to any part of the Service or its underlying systems.
  • Reverse-engineer, decompile, or disassemble any component of the Service.
  • Scrape, crawl, or extract data from the Service by automated means without our prior written consent.
  • Resell, sublicense, or otherwise commercialise access to the Service without our written agreement.
  • Introduce malicious code, viruses, or other harmful material into the Service.

5. HMRC Submissions and Tax Advice

The Service facilitates the submission of quarterly updates and annual declarations to HMRC on your behalf via the MTD API. By authorising a submission, you confirm that the information being submitted is accurate and complete to the best of your knowledge.

The Service does not constitute tax advice. We provide software tools to help you organise and transmit your financial data to HMRC. You remain solely responsible for the accuracy of the financial figures submitted and for meeting all your tax obligations. We strongly recommend consulting a qualified accountant or tax adviser if you are uncertain about any aspect of your tax position.

We are not liable for any penalties, interest, or other consequences arising from incorrect, incomplete, or late submissions where the error originates from information you have provided.

6. Third-Party Integrations

The Service integrates with third-party platforms including HMRC, AgentOS, and TrueLayer (Open Banking). By connecting these integrations, you:

  • Authorise us to access and retrieve data from those platforms on your behalf using OAuth tokens or API credentials that you provide.
  • Acknowledge that the availability and accuracy of data from third-party platforms is outside our control.
  • Accept that your use of those third-party services is governed by their respective terms of service and privacy policies.

7. Data and Privacy

Your personal data is processed in accordance with our Privacy Policy, which forms part of these Terms. By using the Service you confirm that you have read and understood the Privacy Policy. We act as the data controller for personal data submitted through the Service and process it in compliance with UK GDPR and the Data Protection Act 2018.

8. Intellectual Property

All intellectual property rights in the Service, including its software, design, text, and graphics, are owned by or licensed to AgentOS Ltd. Nothing in these Terms grants you any rights in the Service other than the limited licence described in Section 4. You retain ownership of all financial and property data you input into the Service.

9. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, third-party outages (including HMRC API downtime), or events outside our control. We will endeavour to provide advance notice of planned maintenance where reasonably practicable. We are not liable for HMRC submission deadlines missed as a result of HMRC API unavailability — you should monitor HMRC’s service status page and retain alternative filing options.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AgentOS Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability to you in respect of any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the twelve months preceding the event giving rise to the claim, or £100, whichever is greater.

Nothing in these Terms limits our liability for fraud, fraudulent misrepresentation, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

11. Indemnity

You agree to indemnify and hold harmless AgentOS Ltd and its officers, employees, and agents from any claims, losses, damages, liabilities, and costs (including reasonable legal fees) arising out of: (a) your use of the Service in violation of these Terms; (b) any data you submit through the Service that is inaccurate, false, or fraudulent; or (c) your violation of any applicable law or regulation.

12. Termination

You may close your account at any time by contacting us at legal@agentos.com. Upon account closure, your data will be retained for the periods set out in our Privacy Policy to meet statutory obligations, then securely deleted.

We reserve the right to suspend or terminate your account immediately, without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or if required to do so by law or a regulatory authority.

13. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms. You may close your account before the effective date if you do not agree with the changes.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. Nothing in this clause affects your statutory rights as a consumer.
